I. DEFINITIONS

For the purpose of these General Terms and Conditions, the following terms shall have the meanings ascribed to them below:

Term

Meaning

EMT:   Epic Motor Trading, trading name of Instaal, with registered office in Kapellen, BE0686909458, operator of the online auction platform

Platform:  The website www.epicmotortrading.com and all associated digital applications

User:  Any natural or legal person who visits, registers on, or uses the Platform

Buyer:  The User who places a winning bid or whose bid is accepted

Seller / Principal:  The natural or legal person offering a vehicle via the Platform

Professional Seller / Commercial Seller:  Seller acting in the course of their profession or business

Private Seller:  Seller not acting in the course of their profession or business

Lot:  The vehicle or good offered via the Platform

Bid:  Any binding offer to purchase made via the Platform

Reserve Price:  The minimum price below which the seller is not obliged to sell

Proforma:  A non-binding payment request, not a fiscal document. Contains an estimate of the amounts due but is not a legal invoice

Escrow:  Temporary holding of funds by an accredited payment service provider (Stripe Connect) pending delivery confirmation

Transaction Costs:  The processing fees charged by Stripe for payments, consisting of 2.9% + €0.30 (excl. VAT), plus 21% VAT, borne by the buyer

Double Confirmation:  The action whereby both buyer and seller confirm via the Platform that the motorcycle has been physically handed over and received

II. IMPORTANT INFORMATION ABOUT THE RIGHT OF WITHDRAWAL

The Platform offers classic motorcycles, iconic classics, and related goods from both private and professional sellers.

The right of withdrawal:

  • applies only if the buyer is a Consumer and the seller is a Professional;
  • applies only to the purchase price of the Lot;
  • does not apply to the auction costs (seller's commission), as these relate to services already performed by EMT towards the seller.

Withdrawal is excluded for:

  • purchases made via a business account;
  • purchases from private sellers;
  • judicial sales;
  • direct purchases where the service has already been fully performed.

By placing a bid, the Consumer agrees that EMT will perform its auction services immediately. Upon allocation, the Consumer loses the right of withdrawal with respect to the auction costs.

III. SCOPE OF APPLICATION

These terms apply to:

  • every visit to the Platform;
  • every registration;
  • every bid;
  • every sale;
  • every consignment;
  • every payment.

By registering, the User declares that they have:

  • fully read these terms;
  • legal capacity;
  • are bound towards EMT and the sellers.

When creating an account on the Platform, the User acknowledges these terms. The User accepts being bound by these terms towards EMT and the sellers of Lots on the Platform.

IV. ROLE OF EMT (MAXIMUM PLATFORM IMMUNITY)

EMT acts exclusively as a technical and administrative intermediary platform between buyer and seller.

EMT makes the platform available to bidders and principals. It makes the descriptions of Lots provided by principals available, organizes potential viewing days, and handles the post-auction sales processing.

EMT:

  • is not the owner of the vehicles;
  • is not a seller (unless explicitly stated);
  • does not inspect vehicles;
  • does not check title deeds;
  • does not provide authenticity guarantees;
  • is not an escrow bank or financial institution; all payments are processed via an accredited payment service provider (Stripe Connect); EMT itself does not have access to the escrow funds;
  • does not guarantee payment or solvency.

The purchase agreement is concluded solely between the buyer and the seller.

In addition to the purchase agreement, a separate service agreement is formed between the User and EMT for the auction service.

EMT is an online intermediary and marketplace within the meaning of applicable EU law.

V. REGISTRATION AND ACCOUNT

5.1. Creating an account
Registration is mandatory. A User must register on the website www.epicmotortrading.com.

The User must provide correct information, including:

  • Account ID;
  • First and last name;
  • Address details;
  • Country;
  • Phone number;
  • Email address;
  • For professional sellers: VAT number, company name, and enterprise number.

EMT may:

  • deactivate passwords;
  • block accounts;
  • refuse registration;
  • cancel bids, without prior justification.

The User is responsible for the use of their account.

Upon registration, the User must choose a private or professional account. This choice is visually visible on the Platform (private: 🏠 house icon, professional: 🏢 briefcase icon).

5.2. Account verification (KYC)
For professional sellers, KYC verification via Stripe Connect is mandatory before they can offer vehicles. This follows from Belgian and European anti-money laundering (AML) legislation.

Verification includes:

  • Identity verification (ID card or passport);
  • Provision of bank account number (IBAN);
  • Possibly a selfie (if automatic verification fails).

EMT only receives a confirmation from Stripe as to whether the verification was successful. EMT does not retain copies of identity documents or bank account numbers.

Private sellers do not need to undergo KYC verification and can offer vehicles immediately after registration.

5.3. Closing an account
You may not close your account while you are the highest bidder on a lot or while you have an outstanding payment. You may request to close your account at any time by sending an email to info@epicmotortrading.com.

5.4. Eligibility for use

  • If you create or use an account as an individual, you confirm that you are legally competent to enter into an agreement (e.g., you are not a minor).
  • If you create or use an account on behalf of a company, you declare that you have the authority to act on behalf of that company.
  • If you, as a seller, place a listing on our platform, you declare that you are the lawful owner of the vehicle.

VI. PURPOSES OF DATA PROCESSING

EMT processes personal data as described in our Privacy Statement, available on the Platform.

VII. ABUSE AND FRAUD

Prohibited:

  • fictitious bids;
  • price manipulation;
  • bidding on one's own lots;
  • scraping or data mining;
  • uploading malicious software;
  • circumventing technical safeguards;
  • creating new accounts after being blocked;
  • impersonating another person or entity;
  • aggressive or intimidating behavior;
  • using the platform for illegal purposes.

EMT may, upon suspicion of fraud:

  • suspend transactions;
  • freeze payments;
  • request data;
  • permanently block accounts.

VIII. LOTS AND INFORMATION

Motorcycles are offered per lot ("Lot"). The descriptions of lots on the website are indicative and based on information from the seller.

To the extent permitted by law, vehicles are sold in the condition they are in ("as is"). This provision does not affect statutory warranty rights applicable to sales to Consumers by Professional Sellers.

On the Platform, EMT will clearly indicate whether a seller is a private seller or a professional seller.

EMT is not liable for errors in descriptions except in cases of intent or gross negligence.

IX. AUCTION PROCEDURE AND BIDDING

9.1. Binding bid
A bid is binding after confirmation. After entering a bid, the User is shown a verification screen showing:

  • the amount of their bid;
  • the applicable VAT (depending on seller and buyer details);
  • the transaction costs (2.9% + €0.30 + 21% VAT);
  • the total amount payable.

By confirming the bid, the bid becomes binding for the User.

9.2. Automatic allocation at reserve price

  • If the highest bidder has placed a bid equal to or higher than the reserve price, this bidder automatically becomes the winner.
  • If the highest bidder has placed a bid lower than the reserve price, no winner is assigned and the auction ends without a sale.
  • If no reserve price is set, the highest bidder always becomes the winner.

9.3. Extension of the auction
The auction may be automatically extended for bids placed in the last 2 minutes. The auction for this Lot will then be automatically extended in time blocks of 2 minutes.

9.4. Other powers of EMT
EMT may suspend, cancel, or extend auctions, without Users having any recourse against EMT for this.

9.5. Prohibited bidding conduct
Users are not permitted to bid on lots that they or their family members have offered for sale. Users are also not permitted to bid on behalf of a principal or in consultation with a principal to artificially inflate the price.

X. ALLOCATION, PAYMENT AND COSTS

10.1. Allocation
A sale is concluded when the principal accepts a bid on a lot (in case of provisional allocation) or when the auction allocates automatically (in case of final allocation). EMT notifies the allocation to the User who placed the accepted bid.

10.2. Amount payable by the buyer
The buyer pays:

  • the winning bid amount;
  • plus the applicable VAT (if the seller is VAT-liable);
  • plus the transaction costs of 2.9% + €0.30 (excl. VAT) on the total amount (bid + VAT), plus 21% VAT on these transaction costs.

Example: For a winning bid of €1,000.00 (excl. VAT) by a Belgian private buyer from a Belgian professional seller:

  • Bid: €1,000.00
  • VAT (21%): €210.00
  • Transaction costs (2.9% + €0.30 on €1,210): €35.09 + €0.30 = €35.39
  • VAT on transaction costs (21%): €7.43
  • Total for buyer: €1,252.82

10.3. Payment request and term
After allocation, EMT sends the buyer a proforma (non-binding payment request) by email. This is not a fiscal document but an invitation to pay.

The buyer has 48 hours to pay the full amount due.

10.4. Consequences of non-payment
If the buyer fails to pay the outstanding amount in full on the due date, EMT may:

  • dissolve the sale;
  • allocate the lot to another bidder;
  • re-auction the lot;
  • charge the buyer a lump-sum compensation of 25% of the purchase price.

10.5. Invoicing
After full payment of the amount due by the buyer:
a) The seller is legally obliged to issue an invoice to the buyer for the sale of the motorcycle. EMT provides a template for this in the seller's dashboard. The seller is themselves responsible for the accuracy and completeness of this invoice, including the correct VAT treatment.
b) EMT invoices only its own commission to the seller. This commission invoice contains 21% VAT on the commission and is provided to the seller after completion of the transaction.
c) EMT invoices the transaction costs to the buyer. This invoice contains the transaction costs (2.9% + €0.30) plus 21% VAT.
d) The Platform displays the following mandatory notice to sellers: "The seller is legally obliged to issue an invoice to the buyer. Check the invoicing obligations in your country and that of the buyer. EMT is not responsible for the accuracy of the invoice prepared by the seller."

XI. ESCROW AND PAYMENT STRUCTURE

All payments are processed via an accredited payment service provider such as Stripe Connect.

EMT uses Stripe Connect as its payment service provider. The escrow funds are temporarily held in a blocked account of Stripe, not in an account of EMT. EMT has no direct access to these funds and can only release them according to the procedure laid down in these terms. Stripe acts as the escrow agent within the meaning of applicable legislation.

Key provisions:

  • EMT is not a credit institution;
  • No interest is due;
  • EMT may withhold funds in case of dispute;
  • EMT may set off against outstanding debts;
  • EMT may postpone payment until the risk is fully covered.

XII. CHARGEBACK AND CREDIT CARD FRAUD

If the buyer initiates a chargeback:

  • the buyer remains contractually obliged;
  • a 15% administrative fee will be charged;
  • collection costs will be passed on.

An unjustified chargeback constitutes a breach of contract.

EMT may:

  • take legal action;
  • engage a collection agency;
  • claim damages.

XIII. COLLECTION, DELIVERY AND RISK

13.1. General
The buyer is responsible for arranging logistics for collecting the vehicle from the seller. The parties agree that EMT shares their contact details for such purposes.

Contact details are only shared after the buyer has paid the full amount due.

13.2. Title and release
Title is retained and only passes after payment of all amounts due.

13.3. Risk
The risk of damage, loss, or theft passes to the buyer at the time of physical delivery.

13.4. Delivery confirmation
After payment, the buyer and seller share their contact details. Upon physical handover of the vehicle, both parties confirm delivery via the Platform:

  • The seller clicks: "I have handed over the motorcycle"
  • The buyer clicks: "I have received the motorcycle"

The system waits until both parties have confirmed. After this double confirmation, EMT immediately instructs Stripe Connect to release the escrow amount to the seller his wallet, withholding the commission and VAT due.

There is no additional cooling-off period. The buyer is deemed to have inspected the motorcycle upon delivery.

13.5. Dispute handling
If the buyer opens a dispute after delivery (e.g., due to hidden defects, non-matching description, missing documents or keys), EMT will act as mediator.

The buyer fills in a form and can upload photos. EMT decides, based on the available evidence, whether the seller must refund (part of) the amount. Possible decisions:

  • full refund to the buyer (seller must refund money);
  • partial refund;
  • rejection of the dispute (buyer receives nothing).

If the seller does not cooperate with a refund, their account may be blocked and legal steps may follow.

13.6. Delivery via carrier or transporter (without digital confirmation by the transporter)  in progress
If the buyer uses an external transporter, courier, or other carrier to collect the vehicle, and no technical facility (such as a QR code or unique link) is available for the transporter, the following applies:

a) The transporter acts as the buyer's agent. The buyer must provide the transporter with a written power of attorney (PDF or email) authorizing the transporter to take receipt of the motorcycle.
b) The seller is obliged to verify the identity of the transporter prior to handover based on the power of attorney received and a valid identification document.
c) The buyer must confirm delivery digitally before collection. This is done by clicking "I agree to delivery to the transporter" in their dashboard. By this action, the buyer authorizes the transporter to take receipt of the motorcycle and accepts the consequences of delivery.
d) At the time of collection, the seller confirms the physical handover by clicking "I have handed over the motorcycle to the transporter" in their dashboard.
e) Once both confirmations have been made (buyer before collection, seller during collection), the escrow amount is immediately released to the seller.
f) The risk of damage, loss, or theft during transport passes to the buyer at the moment the motorcycle is handed over to the transporter.
g) The buyer cannot subsequently claim defects that arose during transport, unless they can prove that the damage resulted from the seller's intent or gross negligence.

XIV. LIABILITY

EMT's liability is limited as set out in our Disclaimer. Users indemnify EMT as described in the Disclaimer.

EMT's total liability is limited to the amount of the commission EMT has received for the relevant transaction, with an absolute maximum of €5,000 (five thousand euros).

EMT is not liable for:

  • hidden defects of the vehicle;
  • the accuracy of information provided by sellers;
  • indirect damage or loss of profit.

XV. FORCE MAJEURE

No liability in case of:

  • fire;
  • theft;
  • cyberattack;
  • pandemic;
  • governmental measures;
  • technical failures;
  • transport incidents;
  • failures of external service providers (including Stripe).

XVI. AMENDMENT OF TERMS

EMT may amend these terms from time to time by posting an updated version on the website. Amended terms apply to future auctions.

XVII. APPLICABLE LAW

Belgian law applies.

The courts of EMT's registered office have jurisdiction, without prejudice to Consumers' mandatory rights to choose another competent court in accordance with applicable law.

Consumers may use the European ODR platform for online dispute resolution: https://ec.europa.eu/consumers/odr/

XVIII. COMMISSION, FEES AND EXCLUSIVITY

18.1. Commission
EMT charges a commission of 8% (eight percent) on the winning bid (excluding VAT). 21% VAT is charged on this commission. The commission is automatically withheld from the escrow payment to the seller.

18.2. Transaction costs
The buyer pays transaction costs of 2.9% + €0.30 (excluding VAT) on the total amount (bid + VAT). 21% VAT is due on these transaction costs.

18.3. Reference to Vendor Agreement
Additional provisions regarding commission, fees and exclusivity for sellers are set out in the Vendor Agreement. This agreement is binding on all sellers and is accepted upon the first offering of a vehicle.

18.4. No self-billing
EMT does not apply self-billing. The seller invoices the buyer directly. EMT only invoices its commission to the seller and the transaction costs to the buyer. This is in accordance with the guidelines of the Belgian VAT administration.

18.5. Enforceability and withholding
If a seller or buyer is negligent in paying amounts due to EMT, they shall owe automatically and without notice of default:

  • a lump-sum compensation of 15% of the amount due, with a minimum of €750;
  • default interest in accordance with the Law of 2 August 2002.
