1. Identity of the Platform Operator

Instaal is the operator of the online auction platform Epic Motor Trading (www.epicmotortrading.com) and acts as the platform administrator under this agreement.
2. Definitions
In this Vendor Agreement, the following terms shall have the meanings set out below:
EMT: Epic Motor Trading
Platform: The website www.epicmotortrading.com and all associated digital applications
Seller: You, the user offering a vehicle via the Platform
Buyer: The user who places the winning bid on a Lot
Lot: The vehicle or good offered via the Platform
Bid: A binding offer to purchase via the Platform
Reserve price: The minimum price below which the Seller is not obliged to sell
Commission: The fee charged by EMT to the Seller for its brokerage services
Escrow:The temporary holding of funds by Stripe Connect pending confirmation of delivery
Double confirmation: The action whereby both buyer and seller confirm via the Platform that the motorcycle has been physically handed over and received
GDPR: General Data Protection Regulation (EU) 2016/679
Proforma: A non-binding payment request, not a tax document
3. Scope of Application
3.1. This Vendor Agreement applies to:
- Each registration as a seller on the Platform
- Each Lot offered
- Each sale concluded via the Platform
- Each payment processed via the Platform
3.2. By creating a seller account and accepting these terms, you declare that:
- You have the legal capacity to enter into an agreement
- You agree to this Vendor Agreement in addition to EMT's General Terms and Conditions
- You are bound by the rights and obligations set out herein
3.3. In the event of a conflict between this Vendor Agreement and the General Terms and Conditions, this Vendor Agreement shall prevail with respect to the relationship between EMT and the Seller.
4. Seller Status (Private / Professional)
4.1.
Choice upon registration
During registration, you choose one of the following statuses:
Private seller:
You sell as a natural person, not in the exercise of a profession or business
Professional seller:
You sell in the exercise of a profession or business (sole proprietorship, private limited company, partnership, etc.)
4.2.
Obligations for professional status
As a professional seller, you are obliged to:
- Provide a valid VAT number
- Provide your company name and address
- Complete KYC verification via Stripe Connect (Article 5)
4.3.
Responsibility for correct status
You are solely responsible for choosing your status correctly. EMT may carry
out checks and change your status if it appears that your choice was incorrect.
Intentionally choosing the wrong status is considered fraud and will lead to
immediate blocking of your account.
4.4.
Change of status
A change from private to professional is possible at any time. A change from
professional to private is only possible after a written request and assessment
by EMT.
5. KYC Verification (Stripe Connect) – exclusively for professional sellers
5.1.
Verification obligation
As a professional seller, you are legally required to verify your identity
before you can offer Lots on the Platform. This obligation arises from Belgian
and European anti-money laundering legislation (AML).
5.2.
Method of verification
Verification takes place via Stripe Connect. You will be redirected to a secure
Stripe environment where you must:
- Confirm your identity (identity card or passport)
- Enter your bank account number (IBAN)
- Possibly take a selfie (if automatic verification fails)
- Accept the Stripe Connect Service Agreement
5.3.
Processing of personal data
EMT only receives a confirmation from Stripe as to whether verification was
successful (onboarding_complete = true). EMT does not itself keep copies of
your identification document, bank account number, or other sensitive
verification data. Stripe is the processor and ensures the secure storage of
this data.
5.4.
Consequences of non-verification
As long as verification has not been completed, you may not:
- Place any new Lots
- Receive payouts from previous sales (if applicable)
5.5.
Re-verification
EMT and Stripe reserve the right to carry out periodic re-verification or
re-verification following certain events.
6. Terms of Sale and Seller Responsibilities
6.1.
General declarations
By offering a Lot, you declare and warrant that:
- You are the exclusive and unencumbered owner of the vehicle
- There are no attachments, mortgages, or other encumbrances on the vehicle, unless you expressly and visibly state otherwise
- The information provided (brand, model, year of manufacture, VIN, mileage, condition, defects) is correct, complete, and not misleading
- You are permitted to sell the vehicle under applicable law
6.2.
Condition and defects
You are obliged to:
- Accurately describe the condition of the vehicle
- Clearly state all known defects (technical, cosmetic, documentary)
- Add photos of defects to the listing
EMT accepts no liability whatsoever for the accuracy of your descriptions.
6.3. VAT
responsibility
This is a core provision:
Private: You do not charge VAT. The buyer pays only the bid amount.
Professional seller (within Belgium):
You are responsible for the VAT on the motorcycle (21%). EMT does not invoice on your behalf. You issue an invoice to the buyer using the template EMT makes available in your dashboard.
Professional (other EU country):
You are responsible for the correct VAT treatment (OSS scheme, reverse charge, etc.). You issue the invoice yourself.
You fully indemnify EMT against all claims, fines, or assessments arising from incorrect VAT treatment by you.
6.4.
Sale obligation
If a Buyer places a winning bid equal to or higher than your reserve price (or
if you have not set a reserve price), you are obliged to sell the vehicle to
that Buyer. You cannot refuse the sale on the basis of a price that is too low
or other subjective grounds.
6.5.
Prohibited conduct
It is prohibited to:
- Bid on your own Lots
- Collude with others to artificially inflate the price
- Finalize a sale outside the Platform with a Buyer you met through the Platform (for as long as the exclusivity period lasts – see Article 13)
7. Commission and Fees
7.1.
Amount of commission
EMT charges a commission of 8% (eight percent) on the winning bid (exclusive of
VAT). 21% VAT is charged on this commission.
Example:
- Winning bid (excl. VAT): €10,000
- Commission (8%): €800
- VAT on commission (21%): €168
- Total payable to EMT: €968
7.2.
Method of collection
The commission is automatically deducted from the escrow amount paid by the
Buyer. You therefore receive the winning bid minus the commission and the VAT
on the commission. You do not need to transfer anything separately to EMT.
7.3. No
commission if no sale
If a Lot is not sold (no winning bid above the reserve price), you owe no
commission.
7.4.
Commission for off-platform sales
If you make a sale with a Buyer you met through the Platform, and you finalize
this sale outside the Platform to avoid the commission, you still owe the full
commission. In that case, EMT may proceed with invoicing and collection.
7.5.
Other fees
In addition to the commission, the following fees may apply (if agreed in
advance):
- Marketing costs for featured listings
- Professional photography
- Storage costs (if the vehicle is stored at EMT's premises)
- Transport costs
- Expertise or inspection costs
- Administrative costs for cancellation or withdrawal
8. Payments and Escrow
8.1.
Payment by Buyer
The Buyer pays the full amount (bid + any VAT + transaction fees) via the
payment service provider Stripe Connect. Stripe holds this money in escrow on
EMT's instruction. EMT does not have direct access to these funds and can only
release them according to the procedure set out in this agreement.
8.2.
Release of funds (no cooldown)
EMT instructs Stripe Connect to release the funds to you immediately after:
- You, as seller, have confirmed that you have handed over the motorcycle (via the "I have handed over the motorcycle" button in your dashboard);
- The Buyer has confirmed that he/she has received the motorcycle (via the "I have received the motorcycle" button in his/her dashboard).
There is no cooling-off period. The escrow amount is paid out to you immediately after this double confirmation, after deducting the due commission and VAT.
8.3.
Payout
After release, the amount (bid minus commission minus VAT on commission) is
transferred to your Stripe account. From Stripe, you can then have the funds
transferred to your own bank account.
8.4. No
interest
No interest is paid on the amount held in escrow.
8.5.
Post-payout dispute
If the Buyer opens a dispute after the payout (for example, due to hidden
defects or non-conforming description), EMT will act as mediator. In that case,
you may be obliged to refund (part of) the amount. If you do not cooperate,
your account may be blocked and legal steps may follow (see also Article 11.5).
9. Invoicing (seller invoices themselves – EMT only invoices commission)
9.1.
Seller's invoice to buyer
After full payment by the buyer, the seller is legally obliged to issue an
invoice to the buyer for the sale of the motorcycle.
EMT makes a template available in the seller's dashboard that the seller can use. This template contains the following blank fields that the seller must complete themselves:
- Name and address of the seller
- Name and address of the buyer
- Date of sale
- Winning bid (exclusive of VAT)
- Applicable VAT (0%, 21% or other rate depending on the buyer's country)
- Total amount
The seller is solely responsible for the accuracy and completeness of this invoice, including the correct VAT treatment. EMT is not responsible for errors in the invoice prepared by the seller.
The
following mandatory notice is displayed to sellers on the Platform:
"The seller is legally obliged to issue an invoice to the buyer. Check
the invoicing obligations in your country and those of the buyer. EMT is not
responsible for the accuracy of the invoice prepared by the seller."
9.2.
EMT's invoice to the seller (commission)
EMT issues an invoice to the seller for the commission. This invoice
contains:
- Your name and address
- The commission (8% on the winning bid)
- The VAT on the commission (21%)
- The statement: "This amount has been deducted from the escrow payout."
9.3. No
invoice from EMT to the buyer
The buyer does not receive an invoice from EMT for the motorcycle. The
buyer only receives:
- The seller's invoice from the vendor(see 9.1)
- A proforma (payment request) for the transaction fees
- An invoice from EMT for the transaction fees (2.9% + €0.30 + 21% VAT)
9.4.
Your accounting
You are solely responsible for correctly processing these documents in your own
accounting. Professional sellers may deduct the VAT on the commission as input
tax.
9.5. No
self-billing
EMT does not apply self-billing. This is in accordance with the guidelines of
the Belgian VAT administration as communicated by the VAT helpline.
10. Title and Delivery
10.1.
Transfer of title
Title to the vehicle passes to the Buyer only after:
- The Buyer has paid the full amount into escrow
- Physical delivery has taken place
- You, as seller, have confirmed that you have handed over the motorcycle (via the "I have handed over the motorcycle" button)
- The Buyer has confirmed that he/she has received the motorcycle (via the "I have received the motorcycle" button)
10.2.
Seller's obligations upon delivery
You are obliged to:
- Make the vehicle available for collection at the agreed place and time
- Hand over all accompanying documents (registration certificate, service book, keys, etc.)
- Enable the Buyer to inspect the vehicle
10.3.
Risk
The risk of damage, loss, or theft passes to the Buyer at the time of physical
delivery.
10.4.
Non-collection by Buyer
If the Buyer does not collect the vehicle within the agreed period (maximum 14
days after payment), EMT will contact both parties. In that case, EMT may
terminate the agreement and refund the money to the Buyer (after deducting any
costs incurred).
11. Disputes with Buyers
11.1.
First line: mediation by EMT
If a Buyer opens a dispute, EMT will act as mediator. EMT collects information
from both parties (photos, messages, documents) and attempts to reach an
amicable settlement.
11.2.
EMT's decision-making authority
If no amicable settlement is possible, EMT will make a decision based on the
available evidence. EMT may decide to:
- Pay out the funds to you (if the complaint is unfounded)
- Refund the funds to the Buyer (if the complaint is justified)
- Grant a partial refund to the Buyer
11.3.
Limitation of liability
EMT is not a judicial authority. EMT's decision is binding for the escrow
release, but parties always retain the right to submit the matter to the
competent court.
11.4.
Your cooperation
You are obliged to fully cooperate with a dispute procedure. This includes
providing requested information, photos, and documents in a timely manner. If
you do not cooperate, EMT may decide against you.
11.5.
Post-payout dispute (new)
A dispute may also be opened after the escrow amount has already been paid out
to you. In that case:
- The buyer fills out a form with an explanation and may upload photos;
- EMT mediates between you and the buyer;
- If EMT determines that the buyer is entitled to a (partial) refund, you are obliged to repay the relevant amount to EMT;
- If you do not cooperate, EMT may block your account and take legal steps.
Dispute reasons may include:
- The motorcycle does not match the description in the listing;
- Hidden defects that become apparent after delivery;
- Missing documents or keys;
- You have not handed over the motorcycle.
12. Indemnification and Liability
12.1.
Indemnification
You fully indemnify EMT against all claims, damages, fines, assessments, costs
(including reasonable legal costs) arising from:
- An incorrect, incomplete, or misleading description of your Lot
- An infringement of third-party rights (e.g., property rights, trademark rights)
- Incorrect VAT treatment by you
- Non-compliance with your delivery obligations
- A dispute with a Buyer (including post-payout)
12.2.
Limitation of EMT's liability
EMT is not liable for:
- Hidden defects in the vehicle
- The accuracy of information provided by you or the Buyer
- Fraud or default by the Buyer
- Indirect damage or loss of profit
EMT's total liability is limited to the amount of the commission paid by you for the relevant transaction, with a maximum of €5,000.
12.3. No
warranties
EMT gives no warranties regarding:
- The marketability of your Lot
- The final price achieved
- The solvency of Buyers
13. Exclusivity and Consignment
13.1.
Exclusive sales mandate
From the moment a vehicle is registered and accepted by EMT for listing, the
Seller grants EMT an exclusive sales mandate. During this exclusivity
period, the Seller undertakes to:
- not offer the vehicle for sale elsewhere
- not use any other sales channels
- not conduct any negotiations outside EMT
- not conclude any direct sale with interested parties reached through EMT, unless EMT gives prior written consent
13.2.
Duration of exclusivity
Exclusivity applies until:
- (a) 14 calendar days after successful sale through EMT, or
- (b) the date on which EMT confirms in writing that the vehicle has been validly withdrawn
The longest term prevails if multiple periods coincide.
13.3.
Breach of exclusivity
In the event of a breach of this exclusivity obligation, the Seller shall
immediately and without notice of default owe damages equal to:
- the full commission as if the vehicle had been sold at the highest bid price
- all costs incurred
- a fixed indemnity of 20% of the advertised value (min. €2,500)
- any legal and collection costs
13.4.
Resale after failed auction
If after the end of an auction no winning bidder is assigned, the Seller
expressly agrees that:
- EMT may offer a resale service
- EMT may offer the vehicle privately or through an alternative sales process
- the exclusivity period is automatically extended by 14 calendar days
13.5. No
sale obligation for EMT
Nothing in this Vendor Agreement may be interpreted as:
- an obligation of result
- a sales guarantee
- a minimum price commitment
- or an obligation for EMT to actually sell a vehicle
EMT reserves the right to:
- not publish a vehicle
- cancel an auction
- not accept a bid
- terminate a listing prematurely, without liability, except in the case of intent or gross negligence
14. Suspension and Termination
14.1.
Suspension by EMT
EMT may suspend your seller account immediately and without prior notice if:
- You act in violation of this Vendor Agreement
- You commit or attempt to commit fraud
- You finalize a sale outside the Platform
- Your VAT number proves to be invalid
- You do not cooperate with KYC verification
- You do not cooperate with a refund after a justified dispute (Article 11.5)
14.2.
Termination by you
You may terminate your seller account at any time by sending an email
to info@epicmotortrading.com. Ongoing auctions will not be affected; you
are obliged to complete them.
14.3.
Termination by EMT
EMT may terminate your seller account with 14 days' notice. For urgent reasons
(fraud, abuse, illegal activities), EMT may terminate immediately.
14.4.
Consequences of termination
After termination:
- You can no longer place new Lots
- Existing obligations (ongoing sales, disputes) remain in force
- Any escrow funds still being held will be settled according to the rules
15. Applicable Law and Dispute Resolution
15.1.
Applicable law
This Vendor Agreement is governed by Belgian law.
15.2.
Competent court
Disputes shall be submitted to the courts of the district where EMT has its
registered office (Antwerp, Belgium).
15.3.
Amicable settlement
The parties shall first attempt to settle a dispute amicably before having
recourse to the courts.
Signature (digital acceptance)
By clicking "I agree to the Vendor Agreement" during the registration process, you declare that:
- You have fully read and understood this agreement
- You agree to all provisions
- You have the authority to enter into this agreement on behalf of yourself or your business
- You understand that there is no cooling-off period and that the escrow amount will be paid out immediately after double confirmation
- You understand that a dispute is also possible after payout and that in that case you may be obliged to refund

This Vendor Agreement is a supplement to EMT's General Terms and Conditions. In the event of a conflict, this Vendor Agreement shall prevail with respect to the relationship between EMT and the Seller.
